As an authorized affiliate (Affiliate) of www.bestitalianclasses.com, owned by Irene Cangi, you agree to abide by the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering www.bestitalianclasses.com and promoting as an Affiliate. By accepting to promote www.bestitalianclasses.com, you indicate your acceptance of this Agreement and its terms and conditions.

Your participation in the Program is solely to legally advertise our website to receive a commission on courses purchased by individuals referred to www.bestitalianclasses.com by your own website or personal referrals.

You should not create more than one Affiliate account.

You should act in good faith to refer customers in good standing.

You agree not to violate any applicable law.

Approval or Rejection of the Application

We reserve the right to approve or reject ANY Affiliate Program Application in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.

By enrolling in the Program you agree that, at the time of registration, you will provide accurate and complete Registration Data and that you shall inform us of any changes in your Registration Data.

You are responsible for providing us with full and accurate account information and for keeping that information up to date. Failure to provide accurate information may result in exclusion from the Program, suspension or termination of your Affiliate account and forfeiture of any commissions.

Pay-per sales commissions will be paid once a month. The Affiliate will be paid the first week of the second month following the sale (for example conversions made in October will be paid the first week of December).

Commission shall be calculated only once we have received payment in full from the customer. Only once the payment has been received in full will the sale be logged in to your Affiliate Dashboard (please note that the payment will be shown as pending for 30 days after the order has been completed).

You cannot refer yourself, and you will not receive a commission on your own accounts.

Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out.

Commissions will be sent to the PayPal email address of the Affiliate as provided in their Registration Data

In the event that a customer cannot be tracked, no commission will be paid.

By accepting these Terms & Conditions you hereby acknowledge that you are solely responsible for the payment of tax on any income you may generate through your involvement in the Program.

Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

-Inappropriate advertisements (false claims, misleading hyperlinks, etc.).

-Spamming (mass email, mass newsgroup posting, etc.).

-Advertising on sites containing or promoting illegal activities.

-Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.

-Violation of intellectual property rights.

-Offering rebates, coupons, or other form of promised kick-backs from your affiliate commission as an incentive.

-Self referrals, fraudulent transactions, suspected Affiliate fraud.

In addition to the foregoing, www.bestitalianclasses.com reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or from our own discretion

In your Affiliate Dashboard will be the requisite materials for a hyperlink to our school. The HTML code as it appears in your Affiliate Dashboard must be copied exactly and not altered in any way. Failure to comply with this condition may result in your receiving no credit for sales of Service Packages that are generated through your website.

You are required to assume full responsibility to maintain all links to our website from your website.

 Site Maintenance and Content, advertising method

Each Party shall be exclusively responsible for maintaining and updating its own website.

Neither Party may host any content that:

- is in any way unlawful, harmful, threatening, obscene, harassing, discriminatory, defamatory or otherwise objectionable;

-facilitates or promotes violence, terrorism, or any other criminal activity;

- is sexually explicit;

- infringes or assists or encourages the infringement of any intellectual property rights belonging to any party.

All advertising money spent for the promotion of your affiliate link is your own financial responsibility and none of bestitalianclasses.com or Irene Cangi.

 www.bestitalianclasses.com shall have the sole right to decide if a promotional method you use is appropriate. The use of any advertising method that we consider inappropriate may result in warning, suspension or termination of your affiliate account and cancellation of all outstanding commission payments due.

We make no warranty or representation that our website, the Program, or Service Packages sold through the Program will meet your requirements or those of your visitors, that they will be of satisfactory quality, that they will be fit for a particular purpose, that they will not infringe the rights of third parties, that they will be compatible with all systems, that they will be secure and that all information provided will be accurate.

We make no guarantee of any specific results from the use of our website or from enrollment in the Program.

The relationship between the Parties shall be and shall remain non-exclusive. Both parties are free to enter into similar relationships with other parties.

www.bestitalianclasses.com and Irene Cangi will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

Affiliate shall indemnify and hold harmless www.bestitalianclasses.com owned by Irene Cangi and its affiliate, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

You shall have no right or authority to and shall not do any act, enter into any contract, make any representation, give any warranty, incur any liability, assume any obligation, whether express or implied, of any kind on behalf of www.bestitalianclasses.com and Irene Cangi or bind us in any way.

Governing Law, Jurisdiction, and Attorney Fees

This Agreement shall be governed by and construed in accordance with the laws of Italy. Any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in Perugia (Umbria, Italy).

In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.
